Acceptance of Terms and Eligibility

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and ALTO TRÁFICO S.A.S., a commercial company incorporated under the laws of the Republic of Colombia, operating the platform under the brand Varylo ("Varylo", "we", "the Company").

By registering, accessing, or using the Varylo platform (the "Service"), you agree to be bound by these Terms in their entirety.

The Service is intended exclusively for:

• Persons over eighteen (18) years of age
• Legally constituted companies or entities

By using the Service you declare that:

• You are at least eighteen (18) years of age
• You have the legal capacity to enter into binding contracts
• If acting on behalf of a company, you have the authority to bind said entity
• You have read, understood, and accept these Terms and the Privacy Policy

If you do not agree with any part of these Terms, you should not use the Service. Continued use of the Service after any modification constitutes acceptance of such changes.

Definitions

For the purposes of these Terms:

• Service — The Varylo SaaS platform, including software, APIs, website, applications, integrations, and documentation.
• User — Natural or legal person who uses the Service.
• User Content — Data, messages, contacts, files, configurations, or any information entered into the platform.
• Third-Party Data — Data from external services such as Meta (WhatsApp Business API), AI providers, payment gateways, or other integrations.
• Agency — User who manages multiple accounts or clients within the platform.
• Client Account — Individual account managed by an agency within the platform.
• AI (Artificial Intelligence) — Automated functionalities based on artificial intelligence models.
• Trial Period — Initial free period granted upon registration, if applicable.

Service Description

Varylo is a software as a service (SaaS) platform that may include features such as:

The Service depends on third-party services including Meta (WhatsApp Business API), AI providers, payment gateways, and cloud infrastructure.

We do not guarantee uninterrupted availability of such external services.

Registration and Account

To use the Service you must create an account providing truthful and up-to-date information. The User is responsible for:

• Maintaining the confidentiality of their credentials
• All activities carried out under their account
• Correctly configuring their external integrations
• Protecting tokens, API keys, and access credentials

You must notify us immediately if you detect unauthorized use. We reserve the right to suspend or cancel accounts that provide false information, breach these Terms, engage in illegal activities, or pose a risk to the platform.

Plans and Billing

Access to certain features may require a paid subscription. General conditions include:

• Recurring billing
• Processing through external payment gateways
• Automatic charges per billing cycle
• Possible trial periods

Prices may be modified with prior notice. Applicable taxes are the User's responsibility. Failure to pay may result in suspension of the Service.

Cancellation and Refunds

The User may cancel their subscription at any time from the settings panel. Upon cancellation:

• The account will remain active until the end of the paid period
• No prorated refunds will be issued
• Access to the Service will end when the active period expires

User data may be temporarily retained to allow export.

Agency Terms

If the User uses Varylo as an agency:

• Is responsible for managing their clients
• Must have authorization to manage third-party accounts
• Must ensure legal compliance of their clients
• Must comply with external provider policies

Varylo is not part of the contractual relationship between the agency and its clients.

Acceptable Use

The User agrees to:

• Comply with applicable laws
• Comply with Meta and other provider policies
• Not send spam
• Not engage in fraudulent activities
• Not attempt to breach the system
• Not use the Service for illegal activities

Non-compliance may result in immediate suspension.

User Content

The User retains ownership of their content. By using the Service, the User grants ALTO TRÁFICO S.A.S. a limited license to process, store, and transmit their content solely to operate the platform.

The User is responsible for the legality of the data they handle. We may use anonymized data to improve the Service.

Artificial Intelligence — Disclaimer

The Service may include artificial intelligence tools. The User accepts that:

• AI may generate errors
• It does not constitute professional advice
• It must be supervised by humans
• The User is responsible for their use of AI

We do not guarantee accuracy of AI-generated responses.

Intellectual Property

All software, code, design, brand, technology, and documentation of the Service are the property of ALTO TRÁFICO S.A.S. It is prohibited to:

• Copy the software
• Decompile
• Create derivatives
• Resell without authorization

Use of the Service does not grant ownership rights over the platform.

Disclaimer of Warranties

We do not guarantee:

• Continuous availability
• Absence of errors
• Specific results
• Third-party functionality

Use of the Service is at your own risk.

Limitation of Liability

To the maximum extent permitted by law, Varylo and ALTO TRÁFICO S.A.S. shall not be liable for:

• Indirect damages
• Loss of revenue
• Loss of data
• Reputational damages

Maximum liability shall not exceed the amount paid by the User in the last twelve months.

Indemnification

The User agrees to indemnify ALTO TRÁFICO S.A.S. against any claim arising from:

• Misuse of the Service
• Violation of laws
• Violation of third-party rights
• Content sent through the platform

Dispute Resolution

These Terms are governed by the laws of the Republic of Colombia.

Disputes will be attempted to be resolved through direct negotiation. If no agreement is reached, they may be resolved through arbitration in accordance with Colombian legislation.

Force Majeure

ALTO TRÁFICO S.A.S. shall not be liable for delays or failures arising from:

• Natural disasters
• Infrastructure failures
• Cyber attacks
• Regulatory changes
• External service failures

Data Protection

The processing of personal data is governed by our Privacy Policy.

The User is responsible for complying with applicable data protection laws regarding their contacts' information.

Data may be stored on international infrastructure.

Modifications to the Terms

We may modify these Terms at any time. In case of substantial changes, notice will be given in advance.

Continued use of the Service constitutes acceptance of the changes.

Service Termination

We may suspend or terminate accounts in case of:

• Breach of Terms
• Illegal activity
• Non-payment
• Legal requirement

General Provisions

These Terms constitute the entire agreement between the User and ALTO TRÁFICO S.A.S.

If any clause is deemed invalid, the remaining clauses shall remain in effect.
